MYTH
"Compliance comes after product-market fit"
The two most expensive compliance fixes — incorrect equity structure and wrong entity type — must be made at inception, not after. A cap table built wrong costs a minimum of 1–2 months of lawyer time to unwind, and may not be fully fixable.
MYTH
"All DPIIT-recognized startups get the same benefits"
DPIIT recognition is the entry; benefits are accessed through separate applications. Section 80-IAC tax exemption requires a specific application with DPIIT. A recognized startup that doesn't apply gets no tax benefit from that recognition.
MYTH
"Convertible notes are simple agreements"
A convertible note without a well-defined valuation cap, discount rate, and maturity clause can result in anti-dilution terms that kill the next funding round. Simple instrument, complex consequences if the terms aren't set correctly.
